Practice Areas
Acquisitions and Dispositions
Our firm handles real estate sales and purchase transactions for commercial, nonprofit, and bank clients involving a variety of properties. We assist with all stages of acquiring and disposing of property, including documenting, negotiating, and efficiently closing the transaction.
Commercial Leasing
We represent landlords and tenants in the preparation and negotiation of ground and space leases, lease amendments, estoppel certificates, subordination, and non-disturbance and attornment agreements (SNDAs). These type of leasing transactions often involve retail/shopping centers, office space, and industrial warehouses.
Real Estate Finance
We assist both borrowers and lenders in all aspects of their transactions. We advise clients in documenting, closing, servicing, and enforcing real estate debt. With respect to lenders, we represent a variety of lending clients – including commercial banks, community development financial institutions, and nonprofit organizations – in connection with commercial, housing, and non-housing community development projects.
Real Estate Development
Assisting with the entire development process – from site control to closing, we work with for-profit, non-profit, and public developers to build and rehabilitate affordable and market rate housing. We structure and close transactions using a full range of funding sources, including housing tax credits, Section 8 rental assistance, construction loans from commercial banks, state and local programs, and more.
Regulatory Approvals
We work with clients to obtain regulatory approvals for various projects which range from local approvals involving city and state agencies to federal approvals including HUD and USDA Rural Development. These approvals often relate to acquiring, developing, managing, and disposing of multifamily housing properties or the transfer of ownership interests, including HUD’s and Rural Development’s Transfer of Physical Asset (TPA) requirements, and approvals for the assignment of Section 8 HAP contracts.
General Corporate Matters
We provide a full range of services on a variety of business issues such as entity formation and structuring, developing practice and procedure manuals for boards, and contract drafting. Additionally, we assist with M&A transactions and advise clients through all phases of selling and acquiring businesses, including analyzing contractual and operational due diligence, drafting and negotiating transaction documents, and ensuring corporate governance compliance. We further advise clients throughout the acquisition process, bringing harmony to lease and real estate matters as well as coordinating and negotiating financing.
